1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and PokerNexus LLC, a Texas limited liability company ("PokerNexus," "we," "us," or "our"), governing your access to and use of pokernexus.com, the PokerNexus mobile applications, and any related services we operate (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and post the revised Terms at this address, and the change will be visible on the page you are reading now before it applies to you. We will not bury a change or hide it behind a separate notice you have to go looking for. Your continued use of the Service after a revised version is posted means you accept the change. If you do not agree with a revision, your remedy is to stop using the Service and, if you wish, delete your account as described in our Privacy Policy.
Because this acceptance-by-continued-use mechanism only works if the current version is easy to find, we keep the "Last updated" date at the top of this page current with every substantive change, and we do not make a substantive change without updating it.
2. Who Can Use PokerNexus
PokerNexus is an adults-only community. You must be at least 18 years old to create an account, and by registering you represent that you are. We do not knowingly allow anyone under 18 to hold an account, and we remove accounts we determine belong to someone under that age. Our Child Safety Standards describe how we screen for this, how to report a suspected underage account, and what happens once we confirm one.
PokerNexus is not a gambling service. You cannot play poker, place a wager, or exchange anything of value for a chance at a prize anywhere on the Service. We hold no stakes and operate no games of chance. Where the Service references tournaments, cash games, or events, it is describing activity that takes place at independent, third-party casinos, card rooms, or clubs, not activity that PokerNexus runs, sponsors, or profits from. Section 10 says more about what that means for our relationship with those venues. Nothing on the Service, including any output from tools or calculators we provide, is gambling advice or an invitation to gamble.
PokerNexus offers optional tools, including an Equity Calculator and an Independent Chip Model (ICM) Calculator, that perform mathematical calculations based on the hands, stack sizes, or other inputs you provide. These tools are provided for informational and entertainment purposes only. We do not guarantee the accuracy of any calculation, and any decision you make based on a tool's output is your own responsibility. If you choose to share a tool's output on the Service, that output becomes User Content and is governed by Section 5 like anything else you post.
Some of the event listings you see on the Service — tournament names, dates, buy-ins, structures, and similar details — are extracted from a poker room's publicly posted schedule or, in limited cases, from a photograph an administrator has submitted, using an artificial intelligence tool operated by a third-party vendor. A member of our staff reviews and approves each extracted listing before it becomes visible to any user, but the underlying extraction is automated and can be wrong. We do not guarantee that any AI-assisted listing is accurate or current, and you should confirm tournament details directly with the venue before relying on them.
3. Your Account
You need an account to use most of the Service. When you register, you agree to provide accurate information, to keep it current, and to keep your login credentials confidential. You are responsible for all activity that occurs under your account, whether or not you personally took the action, unless that activity was the result of our failure to secure the Service. Tell us right away at support@pokernexus.com if you believe your account has been compromised.
You may hold one account. Creating additional accounts to evade a suspension, to manipulate reporting or voting features, or to impersonate someone else is a violation of these Terms and grounds for removing every account we determine belongs to you.
4. Our Content and Marks
Everything on the Service that did not come from you — our source code, design, features, the PokerNexus name and logo, and the text, graphics, and functionality we created — belongs to PokerNexus or our licensors and is protected by copyright, trademark, and other intellectual property law.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service and to view, download, or print a copy of anything on it, solely for your own personal, non-commercial use. Outside of that, you may not copy, reproduce, republish, distribute, sell, or otherwise exploit any part of the Service or our content or marks without our prior written permission. If you would like to use our content or marks beyond what this section allows, write to us at legal@pokernexus.com.
5. Content You Post
"User Content" means anything you post, upload, or otherwise make available through the Service, including profile information, posts, forum threads, comments, direct messages, and images.
You keep ownership of your User Content. We do not claim it as ours. What we need instead is permission to do the things a social platform has to do with what you post: show it to other users, store it, back it up, resize or reformat an image so it displays correctly, and keep a copy after you have moved on so the conversation around it still makes sense to everyone else who was part of it.
By posting User Content, you grant PokerNexus a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, analyze, adapt (solely for technical purposes such as resizing or reformatting), display, perform, and distribute that User Content in connection with operating, providing, promoting, and improving the Service, including using a third-party service provider to extract information from it with an automated tool. This license lasts as long as your User Content remains on the Service, plus whatever additional period is reasonably necessary for backups, legal compliance, or content that other users have already interacted with in a thread or conversation. It ends, prospectively, when you delete the content or your account, except to that limited extent.
You are responsible for what you post. By posting User Content you represent that you own it or otherwise have the rights necessary to post it and to grant the license above, that it does not infringe or misappropriate any third party's intellectual property, publicity, or privacy rights, and that you have paid or will pay any royalty, license fee, or other amount owed to a third party because of your use of material within it. If a claim arises because content you posted infringed someone else's rights or because a royalty went unpaid, that is your responsibility, not ours; Section 14 (Indemnification) describes this in contractual terms.
We do not pre-screen User Content and are not obligated to monitor it, but we may review, remove, or restrict access to any User Content at our discretion, including in response to a report under Section 9 or a notice under Section 8.
6. Feedback and Suggestions
If you send us an idea, comment, or suggestion about the Service, we may use it for any purpose, commercial or otherwise, without owing you compensation or credit. This section is limited to feedback you send us directly about how to run or improve PokerNexus — it does not apply to User Content you post through the ordinary features of the Service, which Section 5 covers instead.
7. Prohibited Conduct
You agree not to do any of the following on or through the Service:
- Upload, share, link to, request, or promote child sexual abuse material, sexualize a minor in any form, or attempt to groom, solicit, or endanger a child. This is covered in full, including how we respond, in our Child Safety Standards, and we treat any violation of it as the most serious violation of these Terms.
- Post content that is unlawful, harassing, threatening, defamatory, or that infringes another person's intellectual property, privacy, or publicity rights.
- Administer, operate, advertise, or promote any contest, sweepstakes, lottery, drawing, raffle, or giveaway on or through the Service, whether or not a purchase or other consideration is required, without PokerNexus's prior written approval. This applies to venues, players, and any other user alike.
- Impersonate any person or entity, or misrepresent your affiliation with a person, venue, or organization.
- Use the Service to advertise or solicit business unrelated to the purpose of the Service, or scrape, harvest, or systematically collect data from the Service, including usernames or email addresses, without our written permission.
- Interfere with, disrupt, or attempt to circumvent any security or access-control feature of the Service, including by using bots, scripts, or other automated means to access or interact with the Service.
- Upload material that contains viruses, malware, or other code designed to damage or interfere with the Service or another user's device.
- Use the Service for any purpose that competes with PokerNexus or for a commercial purpose we have not approved.
Section 9 describes how reports of this conduct are reviewed and what can happen to an account that violates it.
8. Copyright and the DMCA
PokerNexus respects intellectual property rights and expects users to do the same. If you believe material on the Service infringes a copyright you own or control, you may send a notice to our designated agent that includes: a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; identification of the copyrighted work claimed to have been infringed; identification of the material claimed to be infringing, with enough detail that we can locate it on the Service; your contact information, including address, telephone number, and email address; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
Our designated agent for notices of claimed infringement under 17 U.S.C. § 512(c) is:
Copyright Agent
PokerNexus LLC
5511 Parkcrest Dr., Suite 103
Austin, TX 78731
legal@pokernexus.com
If we remove or disable material in response to a notice, the user who posted it may submit a counter-notification containing: their physical or electronic signature; identification of the material removed and its location before removal; a statement, under penalty of perjury, that the user has a good-faith belief the material was removed as a result of mistake or misidentification; and the user's name, address, and telephone number, along with a statement consenting to the jurisdiction of the federal court for the district where the address is located (or, if outside the United States, for any district in which PokerNexus may be found), and that the user will accept service of process from the person who filed the original notice.
Upon receiving a valid counter-notification, we will provide a copy of it to the person who submitted the original notice and tell them we will restore the material in 10 business days. We will then restore the material not less than 10, nor more than 14, business days after receiving the counter-notification, unless we first receive notice that the person who submitted the original notice has filed a court action seeking to restrain the user from the infringing activity.
We terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
9. Reporting, Blocking, and Moderation
Every profile, post, forum thread, comment, and tag carries a report option in its menu. Reporting lets you flag content for a category — spam, harassment, hate speech, inappropriate content, or something else — with room to add detail. You do not need to be the person directly affected to file a report, and you do not need to report something before blocking the person behind it; the two are independent and we encourage using both where appropriate. Direct messages do not carry an in-app report option; block the sender and email us at support@pokernexus.com with what happened, and say so plainly if it involves a minor, since those reports are reviewed ahead of every other queue.
Every report is reviewed by a person; we do not rely on automated filtering or algorithmic decision-making to moderate content, though we may also act on something we find ourselves without a report. A report can result in no action, removal of the content, a warning, or a suspension, and we will tell you by email which of these happened and why. If you believe we got a decision wrong, you can reply to that email or write to us directly, and a person will look at it again.
We may restrict, remove, or disable content, and suspend or terminate accounts, at our discretion for violations of these Terms, including the prohibitions in Section 7. Doing so does not waive any other right or remedy available to us.
10. Third-Party Venues, Events, and Links
Where the Service provides information about tournaments, cash games, or events, or a link allowing you to register for one through a third-party service, that information and that registration process belong to the casino, card room, club, or other independent venue, not to PokerNexus. We are not affiliated with those venues, we do not organize, sponsor, or profit from what they run, and we make no representation about the accuracy of what they post or the terms on which they operate. Any dispute you have about a tournament, an event, or a promotion offered by a venue is between you and that venue.
This extends to content other users post describing a venue's promotion, contest, or giveaway. That content is the user's or the venue's, not ours, and its presence on the Service does not mean PokerNexus endorses, sponsors, or is responsible for it. Section 7 prohibits anyone from running a contest or giveaway on the Service itself without our prior written approval; the venue and player content addressed here is limited to describing something happening off the Service, at an independent, real-world location.
11. Your Data
We keep the data the Service needs to operate and we run regular backups, but you are responsible for anything you transmit through the Service or that relates to your own use of it. We are not liable to you for the loss or corruption of any data, and by using the Service you waive any claim against us arising from that kind of loss. Our Privacy Policy describes what we collect about you and how long we keep it.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, POKERNEXUS DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT ON THE SERVICE, INCLUDING CONTENT ABOUT THIRD-PARTY VENUES OR EVENTS, IS ACCURATE OR RELIABLE.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, POKERNEXUS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).
Texas generally enforces limitation-of-liability clauses like this one for ordinary negligence claims, but will not enforce a clause that attempts to disclaim liability for gross negligence, intentional misconduct, or a small number of statutory claims that cannot be limited by contract. Nothing in this section is intended to, or does, limit liability beyond what Texas law allows.
14. Indemnification
You agree to defend, indemnify, and hold harmless PokerNexus and its officers, employees, and agents from any claim, liability, damage, loss, and expense, including reasonable attorneys' fees, arising out of or relating to: your use of the Service; your User Content, including any claim that it infringes a third party's rights or that a royalty or fee went unpaid; your violation of these Terms; or your violation of any law or the rights of a third party.
15. Term and Termination
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access at any time, for any reason or no reason, including for a violation of these Terms, without notice where circumstances warrant it. You may stop using the Service, and delete your account, at any time, as described in our Privacy Policy. The provisions concerning the license to content you already posted (Section 5), feedback (Section 6), copyright (Section 8), your data (Section 11), warranty disclaimers (Section 12), limitation of liability (Section 13), indemnification (Section 14), and governing law and dispute resolution (Section 16) survive termination, since they concern rights and obligations that do not disappear just because your account is closed.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
Before filing a claim, you and PokerNexus agree to try to resolve the dispute informally by contacting legal@pokernexus.com and giving the other side at least 30 days to respond. If that does not resolve things, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, seated in Austin, Texas, and conducted in English. Neither party may bring a claim as a class action, a private attorney general action, or in any other representative capacity, and the arbitrator has no authority to consolidate more than one person's claims. This arbitration agreement does not apply to a claim for injunctive relief, a dispute about the ownership or validity of intellectual property, or a small claims court action, any of which either party may bring in a court of competent jurisdiction in Austin, Texas instead.
If any part of this Section 16 is found unenforceable, the rest remains in force, and the unenforceable part will be limited or severed to the minimum extent necessary.
17. Electronic Communications and Signatures
Using the Service, registering an account, and accepting these Terms all happen electronically. You consent to receive communications from us electronically, and you agree that an electronic signature — including clicking a checkbox to accept these Terms — has the same legal effect as a signature on paper. You waive any right under any law requiring an original signature or the delivery or retention of a non-electronic record.
18. Changes to the Service
We may add, change, or discontinue any part of the Service at any time. We are not liable to you for any modification, suspension, or discontinuation of the Service.
19. General
These Terms, together with our Privacy Policy, Cookie Policy, and Child Safety Standards, are the entire agreement between you and PokerNexus regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and PokerNexus. These Terms will not be construed against PokerNexus merely because we drafted them.
